These Terms and Conditions ("Terms") govern your use of helloterpenes.com (the "Site") and every purchase you make from Growth Management, LLC, doing business as Hello Terpenes ("Hello Terpenes," "we," "us," or "our"). By using the Site, creating an account, or placing an order, you agree to these Terms. You also agree to our Privacy Policy, Shipping Policy, and Refund & Return Policy, which are part of these Terms. If you do not agree, do not use the Site or buy our products.

Please read Section 16 carefully. It requires most disputes to be resolved by binding individual arbitration and waives class actions.

1. Eligibility: You Must Be 21 or Older

The Site and our products are intended only for adults 21 years of age or older. By using the Site or placing an order, you confirm that you are at least 21 and legally able to enter into a binding contract. We may ask for proof of age at any time. We may cancel any order, without liability, if we cannot verify that you meet this requirement. We do not knowingly sell to anyone under 21.

2. Our Products

Hello Terpenes sells cannabis-derived terpenes and related aromatic compounds. We offer them in Premium and Elite tiers, as isolates, as sample packs, and in bulk quantities.

Cannabinoid content. Our terpenes are refined to contain no detectable cannabinoids, including THC, based on laboratory testing. Certificates of Analysis ("COAs") are available on product pages.
Natural variation. Our terpenes are extracted from plants. Aroma, flavor, color, clarity, and viscosity can vary naturally from batch to batch and over time. Such variation is not a defect.
Descriptions. Strain names, aroma notes, and flavor descriptions describe the scent and taste of the terpene profile. They are not claims about effects, potency, or the presence of any cannabinoid. Photos are illustrative, and colors may look different on your screen.
Availability. Products, sizes, and prices may change at any time without notice, and any product may be discontinued.

3. Intended Use and Safety

Our terpenes are highly concentrated ingredients. They are sold for use in making finished products, such as vape blends, cosmetics, fragrances, and aromatherapy products, and for professional and hobbyist product development.

Never use undiluted. Do not inhale, swallow, or apply our terpenes to skin in concentrated form. Always dilute them following accepted formulation practices. Typical vape formulations use about 4% to 8% terpenes by weight. See our FAQ for guidance.
Flammable. Terpenes are flammable liquids. Store them tightly sealed in a cool, dark place, away from heat, sparks, and open flame.
Handling. Concentrated terpenes may irritate the skin, eyes, and airways. Use gloves, eye protection, and good ventilation. Wash skin with soap and water after contact.
Keep away from children and pets.
Health conditions. Talk to a qualified healthcare professional before using products made with terpenes if you are pregnant or nursing, have a medical condition, have allergies or sensitivities, or take medication.
Your formulations are your responsibility. If you use our terpenes to make products for others, you alone are responsible for the formulation, testing, labeling, safety, and legal compliance of those products.

4. No Medical Claims; FDA Disclaimer

These statements and products have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, mitigate, or prevent any disease. Nothing on the Site is medical advice. Information about terpenes is provided for general educational purposes only.

5. Compliance With Laws

Laws on cannabis-derived products, vaping products, and flavored products vary widely and change often. You alone are responsible for knowing and following every federal, state, local, and international law that applies to your purchase, possession, import, use, and resale of our products. We do not ship to places where we believe our products are prohibited. Our current shipping restrictions are listed in our Shipping Policy. Our willingness to ship to a location does not mean our products are legal there.

6. Accounts

Some Site features may require an account. You agree to give accurate information, keep your login details confidential, and tell us promptly about any unauthorized use. You are responsible for all activity under your account. We may suspend or close accounts at our discretion, including for suspected fraud, abuse, or violation of these Terms.

7. Orders, Acceptance, and Cancellation

Order acceptance. Your order is an offer to buy. A contract is formed only when we accept your order, which happens when we ship it. An order confirmation email confirms that we received your order. It is not acceptance.
Our right to refuse. We may limit quantities, or refuse or cancel any order, for any reason. Reasons include suspected fraud, unverified age or identity, shipping restrictions, product unavailability, and pricing errors. If we cancel an order after charging you, we will refund the amount charged.
Your right to cancel. You may cancel an order for a full refund before it is fulfilled, meaning before it is packed and a shipping label is created. Email staff@helloterpenes.com with your order number as soon as possible. Once an order is fulfilled, it cannot be cancelled.
Bulk and split orders. For bulk orders split across several terpene profiles, list the profiles and volumes in the order notes. The volumes must add up to the quantity purchased. If your instructions are missing, unclear, or do not add up, we will contact you, which may delay your order. Bulk and custom orders are final once portioning or production begins.

8. Pricing, Payment, Promotions, and Taxes

Prices. Prices are in U.S. dollars and may change without notice. Price changes do not affect orders we have already accepted.
Errors. A price or description on the Site may occasionally be wrong. We are not bound by obvious errors. We may cancel any order placed at an incorrect price, even after confirmation, and refund any amount charged.
Payment. Payment is due in full when you order. You authorize us and our payment processors to charge your chosen payment method for the order total, including taxes and shipping.
Promotions. Sale prices, discount codes, and free-shipping offers apply only during their stated period and under their stated terms. They cannot be combined unless stated, have no cash value, and may be changed or ended at any time.
Taxes and duties. You are responsible for any sales, use, or similar taxes. You are also responsible for any import duties, customs fees, or taxes on international orders.
Chargebacks. If you believe a charge is wrong, please contact us first so we can try to fix it. A chargeback filed on an order that was delivered as described may lead us to close your account and refuse future orders.

9. Shipping, Title, and Risk of Loss

Shipping is covered by our Shipping Policy. Delivery dates are estimates only. Title to products and risk of loss pass to you when we hand the products to the carrier.

10. Returns, Refunds, and Customer Satisfaction

All sales are final except as described in our Refund & Return Policy. That policy also explains our Customer Satisfaction Policy and how to report damaged or incorrect items.

11. Disclaimer of Warranties

Except as expressly stated in these Terms or our Refund & Return Policy, the Site and all products are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all other warranties, express or implied. This includes implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that our products will suit any particular formulation, device, or use, or that the Site will be uninterrupted or error-free. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the fullest extent allowed by law:

We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes lost profits, lost data, business interruption, and personal injury caused by misuse of our products, even if we were told such damages were possible.
Our total liability for any claim about the Site or any product is limited to the amount you paid for the product that gave rise to the claim.

These limits apply under every legal theory. Some jurisdictions do not allow certain limits, so some of these limits may not apply to you.

13. Assumption of Risk and Indemnification

You understand that terpenes are concentrated, flammable chemical compounds. You accept all risks of handling, storing, using, formulating, and reselling them. You agree to defend, indemnify, and hold harmless Hello Terpenes and its owners, employees, and agents from all claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, that arise from:

your use or misuse of our products;
any products you make, sell, or distribute using our products;
your violation of any law; or
your breach of these Terms.

14. Intellectual Property

All Site content belongs to Hello Terpenes or its licensors and is protected by intellectual property laws. This includes text, graphics, logos, photographs, product names, and the Hello Terpenes name and marks. You may not copy, reproduce, change, or distribute Site content without our written permission. You may not use our names or marks on your products or marketing without our written permission.

15. Acceptable Use of the Site

You agree not to use the Site for any unlawful or fraudulent purpose. You also agree not to interfere with its security or operation, scrape or harvest its data, or submit false information.

16. Dispute Resolution, Arbitration, and Class Action Waiver

Informal resolution first. Before filing any claim, you agree to email staff@helloterpenes.com describing the dispute and to give us 30 days to try to resolve it.
Binding arbitration. Any dispute not resolved informally will be settled by binding individual arbitration. The American Arbitration Association will administer it under its Consumer Arbitration Rules, and the Federal Arbitration Act governs this agreement. Arbitration will take place in Genesee County, Michigan, or by video conference.
Exceptions. Either party may bring an individual claim in small claims court. Either party may also ask a court for an injunction to protect intellectual property.
Class action waiver. You and we agree to bring claims only individually. Neither of us will bring a claim as a plaintiff or class member in any class, collective, or representative proceeding.
Opt-out. You may opt out of this arbitration agreement within 30 days of your first purchase or account creation. Email staff@helloterpenes.com with your name and a statement that you opt out of arbitration.

17. Governing Law and Venue

Michigan law governs these Terms, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts in Genesee County, Michigan.

18. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted, and we will update the "Last updated" date. The Terms in effect when you place an order govern that order.

19. General

These Terms, together with the policies they include, are the entire agreement between you and us on their subject. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer these Terms without our consent. We are not liable for delays or failures caused by events beyond our reasonable control, such as carrier disruptions, natural disasters, and changes in law.
